It’s a virus/spyware that AVG didn’t even kill. :(

    First, if AVG is not doing the job (I was using it recently and found it to miss viruses as well and switched to avast), I would switch to another antivirus program.
    You can download a free unlocking program like this one: http://ccollomb.free.fr/unlocker/
    There are others that do the job as well, though this one is pretty well known. Once you install it, you can right click on any file and unlock it which will then allow you to remove it.
    Alternatively, you can boot in safe mode and 99% of the time if it is not a system file you can delete it.

    I’ll get ya the proper method first I need to see what the dll identity is
    no known identity thats a good start
    in Windows/System32 directory locate the dll and mouseover the name of the file
    Verify that NO mouseover text appears
    now try other OLDER dll’s
    notice how they say
    What it is Who wrote it and what its for?
    Viruses and Spyware dll’s have no text because
    that would them make too easy to find
    copy the name of file using right click properties
    and copy the fle name with extension to avoid a mispelling
    Cap I (i) and lower l (L) look alot alike so do other chars
    now open START / Run regedit
    make sure the top of left pane is highlighted so you can search WHOLE registry
    open EDIT / FIND paste in that filename
    and search F3 will continue after it stop on a match
    but when it stops if you see that filename in the KEY
    make sure its highlighted from search don’t get so speedy you disable windows itself
    Press delete 1x and 1 x only or youll start whacking a list
    REGEDIT aint like other editors it dont have a cancel or quit without saving changes
    changes are immediate
    good safe practice is MAKE a backup before editing
    use that F3 and see if there is more than 1 registry entry for file delte it or those as well
    Exit Regedit when search ends
    Make sure RESTORE is off
    Start/ Control Panel / System folder/ Restore tab check it off for reboot
    You may need to change folder view options to see this next one
    C:RECYCLER
    you need to show hidden and system files
    and show system folders
    and uncheck hide system files in VIEW FOLDER options
    TOOLS / Folder Options from a MY Computer window
    if you see a blue icon with a S- name (long name numbers and letters) thats a reseeder registry key
    create a new directory in RECYCLER call it like BYEBYE
    anything will do
    then move that S- file into subdirectory so recycler wont try to reload it
    RESTORE is off but Windows likes to replace things from the recycle bin in case you deleted by error
    adding a registry key is not what you want
    guess what its for
    reregistering the dll you are trying to unregister
    REBOOT PC
    now you can delete that file
